EXPLANATORY NOTE
 
This Registration Statement on Form S-8 (the “Registration Statement”) is being filed for the purpose of registering an additional 2,526,433 shares of Talkspace, Inc.’s (the “Registrant” or the “Company”) common stock, par value $0.0001 per share, to be issued pursuant to the Talkspace, Inc. 2021 Incentive Award Plan (the “2021 Plan”), for which a registration statement of the Registrant on Form S-8 relating to the 2021 Plan is effective.
